Terms and Conditions for Coatings and Ink Products in Graphic Arts and Adhesives Markets

Introduction

Chapter 1: General Provisions
These terms and conditions apply to the functional, security, and aesthetic coatings and ink products used in the graphic arts and adhesives markets. By using these products, the customer agrees to comply with the following terms and conditions.

Chapter 2: Product Specifications

2.1 Quality Standards
All coatings and ink products shall meet the specified quality standards set by the manufacturer. The customer shall inspect the products upon delivery and report any defects or discrepancies within a reasonable period.

2.2 Custom Orders
Custom orders require written approval by the customer. The manufacturer reserves the right to revise the pricing, delivery schedule, or specifications of custom orders.

Chapter 3: Ordering and Delivery

3.1 Ordering
Orders shall be placed in writing and include all relevant product details, quantities, and delivery address. The manufacturer will confirm orders in writing and may require a deposit before processing.

3.2 Delivery
The manufacturer will make reasonable efforts to deliver the products within the agreed-upon timeframe. Delivery times provided by the manufacturer are estimates and may be subject to delays beyond their control.

Chapter 4: Pricing and Payment

4.1 Pricing
All prices are quoted in the currency specified by the manufacturer and are exclusive of applicable taxes and shipping costs. The manufacturer reserves the right to revise prices at any time, but any changes will not affect confirmed orders.

4.2 Payment
Payment terms and methods will be agreed upon between the customer and the manufacturer. In the case of credit terms, payment is due within the agreed-upon period, usually stated on the invoice.

Chapter 5: Warranty and Liability

5.1 Product Warranty
The manufacturer warrants that the coatings and ink products shall meet the specified quality standards. In case of defects or non-conformities, the manufacturer may, at their discretion, replace the product or refund the purchase price.

5.2 Limitation of Liability
The manufacturer shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the coatings and ink products. The customer assumes all risks associated with the use of the products.

Chapter 6: Intellectual Property

6.1 Ownership
All intellectual property rights, including trademarks, copyrights, and patents, belong to the manufacturer. The customer shall not use, reproduce, or modify any intellectual property without prior written consent.

6.2 Confidentiality
Both parties agree to keep any confidential information exchanged during the course of business confidential and not disclose it to third parties without prior consent.

Chapter 7: Termination

7.1 Termination by Default
Either party may terminate this agreement if the other party breaches any material provision. Written notice of the breach must be provided, allowing a reasonable opportunity for the breaching party to cure the breach.

7.2 Effect of Termination
Upon termination, all outstanding payment obligations and provisions related to intellectual property, confidentiality, and liability shall survive.
